Terms and Conditions

These General Terms and Conditions (GTC) apply to all contracts between ZILEX GmbH and our customers.

Deviating terms of the customer are not recognized unless we expressly agree to their validity in writing.

Our offers are non-binding. A contract is only concluded upon our written order confirmation.

Registration is required to use the platform. By registering, the customer accepts these GTC.

ZILEX offers the following services:

• Configuration of engineer-to-order products
• Creation of technical datasheets and 3D models
• Price calculation and quotation
• Mediation of orders to manufacturers

All prices are in Euro net plus the statutory value-added tax.

The displayed prices are binding at the time of the order.

Invoices are payable within 14 days of invoice date without deduction.

In case of late payment, we are entitled to charge default interest at a rate of 9 percentage points above the base rate.

Delivery dates are only binding if expressly confirmed by us as binding.

Partial deliveries are permitted insofar as they are reasonable for the customer.

We warrant that the platform essentially corresponds to the described functions.

The warranty period is 12 months from provision.

We are liable without limitation for damages arising from injury to life, body, or health, as well as for intent and gross negligence.

Otherwise, our liability is limited to the typically foreseeable damage.

All rights to the platform, including the calculation algorithms and user interface, remain with ZILEX.

The customer receives a non-exclusive, non-transferable right of use for the contract period.

Subscriptions can be terminated with 30 days' notice to the end of the month.

The right to extraordinary termination for good cause remains unaffected.

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction for all disputes is Montabaur, provided the customer is a merchant.
